Course Description

LAW 744 - Merger and Acquisition Transactions

This course leads students through an in-depth analysis of the M&A process and the documentation applicable to selling a private company. Students who complete the course will leave knowing how to conduct a sale process, perform due diligence, analyze alternative structures for the transaction, and negotiate and draft provisions of key acquisition-related agreements. Grades will be based on four out-of-class exercises, subject to adjustment of up to one grading unit (e.g., B to B+ or B-) for class participation in in-class exercises. There will be no final exam.
