Course Description

LAW 744 - Mergers and Acquisition Transaction Planning

In this course, students will have an opportunity to study in depth the process of selling a private company. Students will learn (from both the buyer’s and the seller’s perspective) how to prepare a company for the sale process, conduct diligence on the company, and analyze the appropriate structure for the transaction. Students will also draft, mark up and negotiate provisions of various acquisition-related agreements. Grades will be based on out-of-class exercises, subject to adjustment for class participation of up to one grading unit (e.g., B to B+ or B-, C+ to B- or C). There will be no final exam.
