This antitrust seminar will study legal and economic issues that arise in merger analysis under the antitrust laws, during enforcement agency review and in litigation. The seminar aims to have students understand the “ins” and “outs” of modern merger analysis by combining classroom discussions of topics in the antitrust analysis of mergers with detailed reviews of recent merger cases. The first part of the seminar will focus on the fundamentals of antitrust merger analysis. The second partwill focus on eight case studies to highlight the application of these fundamentals in real world merger cases. The goal will be to ensure that students are able to:
- Understand the legal and economic bases behind the Merger Guidelines issued by the Department of Justice and Federal Trade Commission;
- Apply the Merger Guidelines to analyze the likely competitive effects of a proposed mergers; and
- Communicate that understanding and analysis successfully and clearly, orally and in writing.
