Contract Analysis
This course will help prepare students to be more sophisticated when dealing with contracts in their professional dealings. The course introduces basic concepts of contract formation and the components of a contract. Students will then delve into contract analysis to better understand common contract terms, and to learn how to identify ambiguities and favorable/unfavorable provisions that can have significant consequences in the event of any future contract disputes. Students will also learn to appreciate how leverage and ethics play into contract negotiations and drafting. Students will gain exposure to a variety of contracts they are likely to encounter in their professional dealings, such as employment agreements, intellectual property licensing agreements, real estate agreements, and professional services agreements.
