Contract Analysis

 This course will prepare students to be more sophisticated when dealing with business contracts.  The course reviews basic concepts of contract formation, the components of a contract, and common contract terms.  Students will then delve deeper into contract analysis to better appreciate how contract language can be used strategically to advance and protect a party’s interests.  Students will learn how to identify ambiguities and favorable/unfavorable provisions that can have significant consequences in the event of any future contract disputes.  Students will also learn to appreciate how leverage plays into contract negotiations and drafting.  The course includes several guest lectures from deal lawyers in various industries, through which students will learn how the contract principles taught in this course are applied in real-life business deals.  Students will have the opportunity to apply what they’ve learned through in-class, interactive exercises.
